Matt's career began on the lender side. Across more than two decades at Bank of Scotland and then Lloyds Banking Group he structured, credit-committed and underwrote corporate and property finance transactions, including the senior debt behind management buyouts, the same kind of case our desk now packages from the other side of the table. That dual perspective, what a credit committee will and will not fund, how much leverage a business can genuinely carry, and which structures get a deal over the line, is the core of how we advise management teams.
Over a 25-year career he has been involved in raising more than £400 million of debt and equity for clients across corporate transactions, buy-to-let, commercial property and development finance. The portfolio of sites he operates today funnels into a single specialist desk, run on the principle that the adviser should know more about the lender than the borrower does.

Why lender-side experience matters in a management buyout
A management buyout is the one transaction where the borrower knows the business better than anyone and the lender knows the borrower least. Credit committees fill that gap with structure: how many times EBITDA they will lend, what cover ratio they need, how much cash they expect the team to put in, how far behind them the vendor has to sit. Having written and defended those credit papers for two decades, Matt structures a buyout the way a committee will read it, which is what turns a "we would like to" into a sanctioned facility.
Every buyout carries decisions a trading-company loan never faces: the split between senior debt, asset based facilities and vendor loan notes; whether private equity belongs in the deal at all; how sweet equity and ratchets are set; how personal guarantees are capped; and how to keep the vendor, the funder and the team aligned through a five-month process. On those, the adviser's experience of the lender side is what decides whether the deal completes, at what leverage, and on what terms.
